Partner Programme Agreement
This Agreement is separate from the Nova Metrics Subscriber Terms of Service. If you are also a subscriber to the Solar Intelligence platform, that relationship is governed by the Subscriber Terms. This Agreement governs only your role as a referring partner.
Definitions
Programme Overview
The Nova Metrics Partner Programme enables approved partners to earn commission by introducing solar installation businesses to the Solar Intelligence platform. The programme is referral-based: your role is to identify potential subscribers, submit their details via the Partner Portal, and facilitate an introduction. You do not act as a sales representative, agent, or distributor of Nova Metrics. All demos, pricing conversations, onboarding, and ongoing support remain the sole responsibility of Nova Metrics.
Nova Metrics reserves the right to modify, suspend, or discontinue the Partner Programme at any time by giving you no less than 30 days' written notice, except where such modification is required by law, in which case shorter notice may apply.
Eligibility and Application
To participate in the Partner Programme you must:
- Be at least 18 years of age and legally capable of entering into binding contracts under South African law.
- Submit a complete and truthful application via /partner-apply.html.
- Receive written approval from Nova Metrics (email confirmation counts).
- Maintain accurate and up-to-date contact and payment details in the Partner Portal at all times.
Nova Metrics reserves the right to decline any application without providing reasons. Approval is not guaranteed. Existing subscribers to the Solar Intelligence platform may also apply as partners, but their subscriber and partner relationships remain legally separate.
Commission Structure and Payment
Commission is payable only upon a confirmed Conversion. No commission is earned for a lead submission alone. The applicable commission rate for your account is set out in the Partner Approval Notice ("Notice") issued by Nova Metrics by email when your application is accepted. The Notice forms part of this Agreement and is incorporated herein by reference. If there is any inconsistency between the Notice and this Agreement on the question of commission rate only, the Notice prevails.

Payment timeline: Commissions accrued during a calendar month are paid within 30 days of the end of that month, provided the total owing exceeds R 200. Amounts below this threshold are carried forward to the following month.
Payment method: Electronic funds transfer (EFT) to the banking details you have registered in the Partner Portal. You are responsible for the accuracy of those details. Nova Metrics bears no liability for payments sent to incorrectly supplied account information.
Referral Process and Lead Ownership
- Submission: All leads must be submitted through the Partner Portal. Leads communicated by email or other means are not accepted as valid referrals and attract no commission.
- Attribution window: A lead is attributed to you for 120 days from the date of submission. If the lead does not convert within 120 days, the attribution lapses and Nova Metrics may re-accept the lead as a direct prospect. The same 120-day window applies to the post-termination saving clause in Section 11.
- Duplicate leads: If a prospective installer appears in our CRM prior to your submission — whether as a direct prospect or another partner's referral — the lead will not be accepted and no commission applies. You will be notified by email.
- One partner per lead: The first partner to submit a valid lead for a given prospect holds attribution. Subsequent submissions for the same prospect by other partners are rejected.
Partner Obligations and Prohibited Conduct
As a Partner you agree to:
- Represent Nova Metrics and the Solar Intelligence platform honestly and accurately. You may not make claims about features, pricing, or performance that differ from current official documentation.
- Obtain any necessary consent from a prospective installer before submitting their personal information to Nova Metrics, in compliance with POPIA.
- Use only Nova Metrics-approved marketing materials. You may not create your own branded collateral that uses the Nova Metrics name or logo without prior written approval.
- Disclose your status as a Nova Metrics Partner to any prospective installer you approach.
- Not engage in misleading, abusive, or unlawful contact methods when approaching prospective installers, including unsolicited bulk email (spam), paid search advertising using "Nova Metrics" as a keyword, or any deceptive or high-pressure tactics. Legitimate, individually directed outreach — including telephone calls — is not prohibited, provided it complies with applicable law and the other provisions of this Agreement.
- Not approach any existing Nova Metrics subscriber with the intent to resell, re-refer, or claim commission on a customer who is already on the platform.
- Not sub-contract or assign your referral rights to any third party without Nova Metrics' prior written consent.
- Promptly notify Nova Metrics of any conflict of interest, including if you or a close associate hold a direct or indirect interest in a competing solar installer management platform.
Nova Metrics Obligations
Nova Metrics will:
- Review submitted leads and provide acceptance or rejection decisions within 5 business days.
- Maintain accurate records of your submissions and conversions in the Partner Portal.
- Notify you by email when a Qualified Lead converts to a paid subscriber.
- Pay commissions on the timeline set out in Section 4.
- Provide you with reasonable access to up-to-date marketing materials through the Partner Portal.
- Handle all product demonstrations, onboarding, and customer support for your referred leads.
Nova Metrics does not guarantee any minimum number of lead acceptances, conversion rates, or commission earnings. The Programme is provided on an "as available" basis.
Intellectual Property and Branding
Nova Metrics grants you a limited, non-exclusive, non-transferable, revocable licence to use the Nova Metrics name and approved Partner badge solely for the purpose of identifying yourself as a Nova Metrics Partner to prospective referrals. This licence does not permit you to:
- Register any domain, social media handle, or business name incorporating "Nova Metrics" or any confusingly similar term.
- Use the Nova Metrics logo or name in any manner that implies you are an employee, officer, or official representative of Nova Metrics.
- Create derivative works of Nova Metrics branding, marketing materials, or platform screenshots.
Nova Metrics owns or holds the necessary rights to use and licence the Solar Intelligence platform, brand assets, and marketing materials made available to you under this Agreement. This Agreement does not transfer any intellectual property ownership rights to you.
Confidentiality
You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party without Nova Metrics' prior written consent. This obligation survives termination of this Agreement for a period of 2 years.
Confidential Information does not include information that: (i) is or becomes publicly known through no fault of yours; (ii) you can demonstrate was already known to you before receiving it from Nova Metrics; or (iii) you are required to disclose by law or court order, provided you give Nova Metrics reasonable advance notice where permitted by law.
Data Protection (POPIA)
Each party is an independent responsible party for the personal information it processes in connection with this Agreement. When you submit a prospective installer's details via the Partner Portal, you warrant that:
- You have obtained the prospective installer's consent to share their personal information with Nova Metrics for the purpose of a commercial follow-up.
- The information you submit is accurate and collected lawfully.
- You will respond promptly to any access, correction, or objection requests from individuals whose information you have submitted.
Nova Metrics will process personal information submitted via the Partner Portal in accordance with our Privacy Policy.
Term and Termination
This Agreement commences on the date of your written approval as a Partner and continues indefinitely unless terminated in accordance with this section.
- Termination by you: You may terminate this Agreement at any time by giving 14 days' written notice to partner@novametricsgroup.com.
- Termination by Nova Metrics — for convenience: Nova Metrics may terminate this Agreement by giving you 30 days' written notice.
- Termination by Nova Metrics — for cause: Nova Metrics may terminate this Agreement immediately, with written notice, if you: (i) breach any material term of this Agreement and fail to remedy the breach within 7 days of notice; (ii) engage in fraudulent, deceptive, or illegal conduct; (iii) make misrepresentations about Nova Metrics or its platform to third parties; or (iv) are sequestrated, liquidated, or placed under business rescue.
Effect of termination: On termination, your access to the Partner Portal ceases and no new leads will be accepted. Commission is payable for any Conversion confirmed before the effective date of termination. In addition, if a Qualified Lead was validly submitted and accepted by Nova Metrics before the termination date, and that lead Converts within 120 days after the termination date, Commission shall remain payable to you in full — provided the termination was not for cause under clause (ii) or (iii) above (fraudulent conduct or misrepresentation).
Independent Contractor
You are an independent contractor. Nothing in this Agreement creates or implies a partnership, joint venture, agency, employment, or franchise relationship between you and Nova Metrics. You have no authority to bind Nova Metrics contractually, make representations on its behalf, or commit it to any obligation. You are solely responsible for your own taxes, insurance, and compliance obligations.
Disclaimer and Limitation of Liability
The Partner Programme is provided "as is". Nova Metrics makes no warranties — express or implied — regarding the programme's availability, the conversion rate of submitted leads, or the volume of commission you may earn.
To the maximum extent permitted by applicable law, Nova Metrics' total aggregate liability to you under or in connection with this Agreement shall not exceed the total commission paid to you in the 3 months immediately preceding the event giving rise to the claim. Nova Metrics shall not be liable for any indirect, consequential, or loss-of-profit claims.
Nothing in this section limits liability for fraud, gross negligence, or any liability that cannot be excluded or limited under South African law.
Amendments
Nova Metrics may amend this Agreement at any time. Where changes are material, we will email you at the address registered in your Partner Portal account at least 30 days before the changes take effect. Your continued participation in the Programme after the effective date of any amendment constitutes acceptance of the revised Agreement.
If you object to any material amendment, you may terminate this Agreement in accordance with Section 11 before the amendment takes effect, and your existing rights under the prior version will continue to govern the wind-down period.
General Provisions
- Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Nova Metrics regarding the Partner Programme and supersedes all prior communications on the same subject.
- Severability: If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement will continue in full force.
- Waiver: Nova Metrics' failure to enforce any right under this Agreement does not constitute a waiver of that right.
- Assignment: You may not assign or transfer this Agreement or any rights or obligations under it without Nova Metrics' prior written consent. Nova Metrics may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
- Governing law and jurisdiction: This Agreement is governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.
- Notices: Legal notices to Nova Metrics must be sent to the contact details in Section 16 below. Notices to you will be sent to the email address registered in your Partner Portal account.
